TERMS AND CONDITIONS FOR THE USE OF THE SELF-SERVICE SYSTEM

1. General Provisions

1.1. The website www.resi.lt (hereinafter referred to as the Website) features a Self-Service System (hereinafter referred to as the Self-Service System), for tenants, users of the Self-Service System, (hereinafter referred to as the User) who, having registered and logged in to the Self-Service System, may enter into agreements with landlords (hereinafter referred to as the Agreement), review concluded Agreements, register faults, send and receive messages, review invoices, pay invoices, review completed and rejected payments, pay utility charges, order additional services, submit confirmations regarding personal data processing and perform other actions specified in the Self-Service System.

1.2. The Self-Service System is owned and administered by the property management company UAB Newsec Property Management LT (hereinafter referred to as the Company) legal entity code: 300050216, registered office address: Konstitucijos pr. 21 C, Vilnius.

1.3. This document constitutes an agreement between the Company and the User on the use of the Self-Service System (hereinafter referred to as the Terms and Conditions). The Terms and Conditions hereby establish the procedure for the use of the Self-Service System and the conditions that must be observed by each duly registered User of the Self-Service System and the Company.

2. User Account Registration Procedure and Terms of Use

2.1. Once the Customer has concluded the Agreement, the Company shall create a User account of the Self-Service System by entering the User’s name and surname, e-mail address, telephone number, personal identification number or date of birth, and uploading a copy of the Agreement.

2.2. The Company shall provide the User with login details (username and password) by e-mail, with which the User shall be able to connect to the User’s account in the “For Tenants” section of the website www.resi.lt.

2.3. By logging in to the Self-Service System account, the User hereby confirms that:

2.3.1. he/she has attentively and carefully read these Terms and Conditions and the Privacy Policy, understood them and voluntarily agrees with them and undertakes to use the Self-Service System in accordance with the procedure and conditions set forth in the Terms and Conditions and the Privacy Policy;

2.3.2. the data provided are correct, accurate and complete. Any losses resulting from the provision of incorrect data shall be borne by the User;

2.3.3. in the case of change of the User’s data, the User undertakes to inform the Company thereof immediately, but not later than within 2 (two) business days, while changing (supplementing) his/her profile data in the Self-Service System.

2.4. If the User does not agree with the conditions of the Terms and Conditions, he/she shall not have the right to use the Self-Service System.

2.5. For the initial connection to the Self-Service System, the User must use the e-mail address provided at the time of registration and the password generated by the Company. After activating the User’s account, the User may optionally log in with the username and password or through Google or Facebook accounts. Thereafter, the terms and conditions and privacy policies set by the selected service providers shall apply.

2.6. After activating the User’s account, the User must change the login password of the Self-Service System in the Self-Service section “My Account” / “Change Password”. It is recommended to create a complex, hard-to-predict password (the password must contain at least 8 symbols, using uppercase and lowercase letters, numbers and must not include easy-to-predict words or numbers) and change it at least every 3 (three) months. The Company reserves the right to set password requirements as mandatory for security or other reasons.

2.7. The User shall be strictly prohibited from impersonating other persons by providing a false name, surname and/or other data, performing other actions that could harm the operation of the Self-Service System, the Company, other persons, their property or legitimate interests, including, but not limited to, illegal transactions or fraud.

2.8. The User undertakes to use only secure means and equipment for electronic communication and data transmission and to ensure the confidentiality of the data provided and must make every effort to protect the data of connection to the Self-Service System (including the password) from becoming available to third parties and not disclose it to third parties in any direct (indirect) ways as well as ensure that no third party may use his/her data for the purposes of using the Self-Service System or for any other purposes. The User shall be liable for any actions of third parties if they have been performed using the User’s data, and all duties and liability arising from or related to such actions of third parties shall be borne by the User in full.

2.9. The User undertakes to provide only correct information, not to violate the rights of third parties, not to act in a manner contrary to public order and good morals, and shall assume full liability for any losses that the Company and/or third parties may suffer as a result of the unlawful processing of such data.

2.10. If the User has lost the connection data to the Self-Service System or suspects that his/her account in the Self-Service System is being used by third parties, he/she must immediately inform the Company thereof by telephone No.: +370-687-11908.

2.11. The User’s account may be terminated if:

2.11.1. The User submits a request to the Company to terminate the account;

2.11.2. The User has no valid contracts or debts and more than 6 (six) months have passed since the User’s last login;

2.11.3. The User has violated the Terms and Conditions or applicable law as set out in Clauses 2.7–2.9 of the Terms and Conditions;

2.11.4. The Landlord instructs the Company to terminate the User’s account.

2.12. Upon termination of the User’s account, the data shall be further processed in accordance with the personal data processing conditions agreed upon between the Company and the Landlord.

3. Rights, Obligations, and Liability of the Company

3.1. The Company shall have the right to change, supplement the functionality of the Self-Service System, terminate the operation of the Self-Service website at any time without prior notice.

3.2. If the User violates the conditions of use of the Self-Service System specified in Clauses 2.7–2.9 of the Terms and Conditions, the Company shall have the right to prohibit the User from using the Self-Service System and/or the services provided by the Company immediately and without prior notice. In case of reasonable suspicion that the User has caused or could have caused damage to the Company, third parties and/or public interest by such actions, the Company shall have the right to transfer all available data about such User to the authorised state institutions.

3.3. The Company shall not be liable if the User’s personal data are unlawfully altered, disclosed, destroyed or used if this was due to the User’s fault or negligence as a result of non-compliance with the Terms and Conditions or legal acts.

3.4. The Company undertakes to ensure appropriate technical and organisational measures and to make reasonable efforts to ensure the smooth operation of the Self-Service System. However, taking into account the fact that the operation of the Self-Service System may be affected by factors beyond the Company’s control (e.g. internet connection disruptions, cyber attacks, the User’s fault, etc.), the Company shall not be liable for damages and consequences resulting from such disruptions in operation. The Self-Service System shall be considered to operate smoothly if the User is able to use the Self-Service System 90 (ninety) percent of the time per year.

3.5. Cases when the Company temporarily limits access to the Self-Service System due to repairs, upgrades of the Self-Service System and other similar cases, provided that it has informed the Users about such cases in advance, shall not be considered to be cases of disruption in the smooth operation of the Self-Service System.

3.6. The Company shall have the right to use the assistance of third parties to perform any actions related to these Terms and Conditions, as well as to transfer to third parties its rights and obligations arising from these Terms and Conditions without separate notice to the User.

4. Signing of Agreements

4.1. Agreements may also be signed in the Self-Service System. Before signing the Agreement, you must confirm your identity by going through the “know-your-customer” procedure carried out by the service provider engaged by the Company.

4.2. Upon the proper confirmation of the User’s identity, the signing of the Agreements may be performed by the Company using means issued by third parties (SMART-ID, mobile signature, etc.). The document shall be considered signed when it is signed by both Parties to the Agreement.

5. Signing of the Deeds of Transfer and Acceptance

5.1. The Deed of Transfer and Acceptance regarding the object of rent may be signed in the Self-Service System. The Parties hereby agree that the confirmation of the Deed of Transfer and Acceptance using the tool installed in the Self-Service System shall be considered as sufficient proof confirming the User’s will to approve the Deed of Transfer and Acceptance and shall be considered to be a signature with the legal authority established in Chapter III of the Republic of Lithuania Law on Electronic Identification and Trust Services for Electronic Transactions. Therefore, the Deed of Transfer and Acceptance approved in the Self-Service System shall be considered equivalent to a document in written form, which has the same legal effects as a document certified by the signatures of the Parties to the Agreement on each of its pages.

6. Settlement for Services

6.1. The Self-Service System shall generate invoices to the User for the services provided under the Agreement. The Company shall use third parties to execute payments who shall be liable for the proper provision of the payment initiation service.

6.2. Information on invoices issued and payments made shall be provided in the Self-Service System.

7. Processing of Personal Data

7.1. As far as the provision of services under the Agreement to you is concerned, the Landlord shall be considered to be your data controller and the Company shall be considered to be your data processor. As far as the operation and functionality of the Self-Service System is concerned, the Company shall act as the data controller.

7.2. In order to provide services to the User, the Company shall process the User’s personal data in the Self-Service System for the purposes, bases and terms set out below.

7.3. The Company shall process your personal data within the terms specified in Clause 7.2 of the Terms and Conditions, except in cases when the data controller instructs the Company to return the data earlier or legal acts establish other terms of mandatory data retention.

7.4. The Company hereby warrants that your personal data shall not be provided or otherwise transferred to third parties without a legitimate basis and shall not be used for any purposes other than those for which they were collected. The Company shall not process your personal data in any way other than in accordance with the personal data processing agreement concluded between the Company and the Landlord, the Terms and Conditions, the Privacy Policy and applicable legal acts.

7.5. In the course of its activities, the Company may provide your personal data to other entities to the extent necessary to achieve the Company’s objectives, fulfil contractual or legal obligations or for a legitimate interest: to debt management and collection companies, auditors, legal and financial advisers, authorised partners, persons ensuring proper fulfilment of your obligations to the Company, companies belonging to a group of companies to the extent necessary to ensure the provision of the services to you.

7.6. Your personal data may be transferred to data processors engaged by the Company and/or the Landlord in order to provide you with the services and carry out activities specified in the Self-Service System: authentication, accounting, payment initiation, software supply and support, IT service providers, registration of tasks in the Self-Service System, troubleshooting service providers, administrators of the systems being used, companies providing advertising, marketing, analysis services and other services necessary for the operation of the Company and the Self-Service System. The possibility for data processors to use your is limited – they may not use such data for purposes other than the provision of services. In case of selling all or part of a business, the Company may transfer your data to the buyer. Your personal data may be transferred to state authorities and institutions, registers, other persons performing the functions assigned to them by law, if this is required according to the applicable law.

7.7. Further information on the processing of personal data, including the exercise of data subjects’ rights, may be found in the Agreement concluded with the Landlord and in the Landlord’s Privacy Policy. If you wish to exercise your data subject rights as a User of the Self-Service System, follow the procedure regulated in the Privacy Policy published on the Company’s website www.newsec.lt, which shall be considered to be an integral part of these Terms and Conditions. 8. Use of Cookies

8.1. The Company collects information about you by using cookies and similar technologies. Cookies are small files that are temporarily stored in your browser or on your device. Cookies are a common web browsing practice that facilitates the use of the website.

9. Intellectual Property and Its Protection

9.1. All copyrights to this Self-Service System belong to the Company and are protected by law. Violation of these rights is subject to liability in accordance with the procedure prescribed by legal acts.

9.2. Without the consent of the Company, it shall be prohibited to reproduce, copy, reprogram, publish, transfer, forward or otherwise use the information contained in the Self-Service System or any part or design thereof, except for cases provided for by the legal acts.

10. Provision of Messages

10.1. The Company shall provide the User with messages (e.g. about detected faults, invoices, utility charges, reminders about signing of documents, etc.) in the “Messages” section of the Self-Service. The User shall be informed about the new messages by both the e-mail address and telephone he/she has submitted (if requested).

11. Submission of Requests, Complaints and Other Inquiries

11.1. The User may submit a request, complaint, or inquiry to the Company:

11.1.1. In the “Messages” section of the Self-Service System account.

11.1.2. By writing an e-mail to [email protected];

11.1.3. By calling the manager assigned by the Company, whose contacts are provided in the User's account.

12. Final Provisions

12.1. The law of the Republic of Lithuania shall apply to the enforcement and interpretation of the Terms and Conditions.

12.2. All disputes related to these Terms and Conditions shall be settled through negotiations. If no agreement is reached, they shall be resolved in accordance with the procedure established by the laws of the Republic of Lithuania, in the court which has jurisdiction over the location where the Company's registered office is located. If the User is a natural person, a consumer, he/she may apply to the State Consumer Rights Protection Authority for the protection of consumer rights.

12.3. If any provision of the Terms and Conditions becomes or is declared as invalid, the remaining provisions of the Terms and Conditions shall remain in full force and effect.

12.4. The Company shall have the right to unilaterally amend these Terms and Conditions. Amendments to the Terms and Conditions shall enter into force upon their publication in the Self-Service System. If the User continues to use the Self-Service System after the amendments to the Terms and Conditions enter into force, it shall be considered that he/she agrees to all amendments to the Terms and Conditions.
